General Sales Conditions

These general sales conditions regulate all the sales of products made by BIPALED s.r.l. with registered office in Italy, city of Bra, Via Gabotto nr. 31 12042 (CN), VAT number (IT) 03540260043.

Terms of delivery – The execution of the order is specifically subject to the availability of the products ordered and the absence of circumstances that may affect the availability of the same products and their timely delivery. The delivery terms are indicative, and their course can not give rise to the termination of the contract or compensation for damages in case of delays in delivery due to causes not attributable to BIPALED s.r.l. After 30 days from the expiry date, the purchaser is allowed to withdraw from the contract, with mutual renunciation of the parties for any further claim.

Delivery, risk transfer and transport – The general conditions that regulate the transport of goods are as follows, depending on the mode chosen by the buyer:

a) Ex-works Bra (Italy): all goods shipments are made by courier appointed by the buyer and the costs are borne by the buyer; the seller is exempt from all liability and the goods travel at the risk of the purchaser. In the event of theft, tampering with the packages, damage to the product, etc. the buyer must contact the carrier only.
b) Carriage-paid-to: shipments will be made by trustworthy carriers at the expense of the seller or with the costs charged at the buyer on the invoice.

Goods check – The buyer has the burden of checking the quantity, quality and integrity of the Goods contained in the packages sent by BIPALED s.r.l. and their correspondence to the delivery note. The Seller shall be notified by the Purchaser of any faults or product non-compliance within 8 days of receipt of the goods, otherwise the claim will be void.

Prices and catalog – The prices of the Goods offered by BIPALED s.r.l. are expressed in Euro, VAT net and excluding packaging and transport. BIPALED s.r.l. reserves the right to change prices, without notice, based on market price trends and exchange rates between Euro and other currencies. VAT, transport and packing costs will be specified and detailed on the invoice.
BIPALED s.r.l. reserves the right to make technical and / or aesthetic changes to the products in the catalog at any time without notice.

Payments – Payments must be made at the seller’s premises, except for different written instructions, under the terms indicated in the order confirmation.

BIPALED s.r.l. reserves the right to request and accept only Bank transfer payment method. This payment method must be made exclusively to the current account in the name of BIPALED s.r.l. (specified from time to time on the sales invoice) no later than the terms established at the time of order confirmation. In case of advance payment, the Goods ordered by the Customer will remain pending until receipt of proof of bank transfer.

Minimum order for invoicing– The value of the billable minimum order, within a month, is 100,00 € (VAT excluded). At the end of the month, for invoices with a tax base lower than 100,00 €, 8,00 € will be charged as a billing fee contribution.

Controversy – BIPALED s.r.l. reserves the right not to execute orders from buyers who have failed to timely pay previous supplies. Any variation to the payment conditions must be expressly agreed with BIPALED s.r.l. In the event of any delay, irregularity, omission or default of the Client in the times and in the ways indicated above, BIPALED s.r.l., reserves, at its sole discretion to:

– Cancel the order or discontinue any other delivery;
– Withhold any payment made by the Customer for such Goods as compensation for the sum due as BIPALED s.r.l.;
– Request an interest on the amount of the overdraft at the legal interest rate in effect at the time of expiry.

The deadline set for payment must be considered essential and in no way can be postponed.

Warranty – The guarantee of (minimum) 24 months applies to the product that presents a lack of conformity, provided that the product is used correctly, respecting its intended use and how it is provided in the attached technical documentation.

The guarantee for defects / lack of quality, offered by BIPALED s.r.l. on products sold is provided within the limits specified below:

a) It consists in the replacement of the defective product. Any direct or indirect liability for damage caused by the use of the component / product sold is excluded.

b) The products sold by BIPALED s.r.l. are generally guaranteed for the duration of (minimum) 24 months from the date of the invoice from construction defects, excluding those deriving from improper use, tampering, accidental breakage of the Goods after purchase, etc.

c) The Goods considered defective, must be returned, with the authorization of BIPALED s.r.l., to the seller in Bra (CN) accompanied by return documents.

d) The defects / lack of quality must be reported within eight days of delivery, otherwise the guarantee will lapse.

Place of jurisdiction and applicable law – Place of jurisdiction for any disputes shall be defined according to the principles of international right and the international conventions in force.
In the event of the contracting parties being companies with a registered office in Italy, it is agreed that Italian law shall be applied exclusively, and the place of jurisdiction shall be Asti (AT).
